Terms of Service
The terms under which Holt Web Solutions Limited provides its services. By using rapido.co.nz, app.rapido.co.nz, or any Rapido-hosted product, you agree to these terms.

1. Service
Rapido provides a Software-as-a-Service platform that integrates with the Accredo ERP and other systems your business uses. The specific modules, integrations, and service levels you receive are defined in your order form or written agreement with us. If you don't have one yet, these terms govern your use of the public website only.
2. Your account
If you have an account on app.rapido.co.nz or another Rapido-hosted product, you are responsible for keeping your credentials safe and for activity carried out under your account. Tell us as soon as possible if you suspect unauthorised access.
3. Acceptable use
You agree not to:
- Use Rapido to break the law, infringe rights, or harass people.
- Interfere with the platform's operation, integrity, or security.
- Probe for vulnerabilities outside an authorised disclosure programme.
- Use Rapido to send unsolicited bulk messages.
- Resell access to our service without a written reseller agreement.
4. Data and privacy
Your business owns the data you bring to or generate through Rapido. We process it on your instructions to deliver the service. The Privacy Policy governs personal information.
5. Subscription, fees and term
Subscriptions are paid on the cycle in your order form (typically monthly). Subscriptions renew automatically unless either party cancels before the renewal date. Fees are exclusive of GST. We may change pricing on renewal with at least 30 days' notice.
6. Suspension and termination
We may suspend or terminate access for material breach (including non-payment), abuse, illegal activity, or where required by law. On termination, you can export your data for up to 30 days, then we delete it on the schedule in our Privacy Policy.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. Specific uptime SLAs are available on request for customers who need them. Scheduled maintenance is announced in advance where possible.
8. Third-party services
Rapido integrates with third-party services (Shopify, WooCommerce, HubSpot, Snowflake, Anthropic, OpenAI, AWS, etc.). Your use of those services is governed by their own terms. We're not responsible for their availability or behaviour, but we will work with you in good faith to resolve issues that arise at the integration boundary.
9. Intellectual property
Rapido and the platform are licensed, not sold. The open-source Rapido SDK is governed by the Sustainable Use License. The Rapido MCP server is a hosted commercial product on a separate agreement. Customer feedback you give us about the product may be used to improve it.
10. Disclaimers
The service is provided "as is" and "as available" to the extent permitted by law. The Consumer Guarantees Act 1993 does not apply where the service is supplied for business purposes (s43).
11. Liability
Each party's aggregate liability under or in connection with these terms is capped at the fees the customer paid Rapido in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, or special damages, lost profits, or loss of data. Nothing in these terms limits liability where it cannot lawfully be limited.
12. Changes
We may update these terms. Material changes will be announced on the website or by email to active customers at least 30 days before they take effect.
13. Governing law
These terms are governed by New Zealand law. Disputes are subject to the exclusive jurisdiction of the courts of New Zealand.
